		<description><![CDATA[LLP - Limited Liability Partnership Act conversion notification]]></description>
			<content:encoded><![CDATA[<p style="text-align: justify;">In exercise of the powers conferred by sub-section (3) of section 1 of the Limited Liability Partnership Act, 2008 (6 of 2009), the Central Government hereby appoints 31-5-2009 as the date on which the provisions of sections 55 to 58, Second Schedule, Third Schedule and Fourth Schedule of the said Act shall come into force.</p>
<p style="text-align: justify;">In pursuance of clause (<em>b</em>) of sub-rule (2) of rule 1 of the Limited Liability Partnership Rules, 2009, made under section 79 of the Limited Liability Partnership Act, 2008 (6 of 2009), the Central Government hereby appoints 31-5-2009 as the date on which rules 32 and 33 and rules 38 to 40 of Limited Liability Partnership Rules, 2009 shall come into force.</p>

Services such as DIN, domestic incorporation, international incorporation and annual tax returns will be available online only at the click of a button. Netz capital online services shall work in tandem with Registrar of Companies (ROC) and provide easy access to ROC services through simple, easy to use interface.</p>
<p style="text-align: justify;">&#8220;In the tough global recession time, Sole proprietorship companies as well as private limited companies are looking to shift towards limited liability partnerships that suits individual investors giving them limited liability for the business they are running.&#8221; said Atul Khekade, Director of Netz capital. &#8220;Business friendly bill of LLP in India shall attract lot of domestic as well as international corporate to form their entity and file tax returns in India&#8221; he added.</p>

<li><strong>Step 3: Decide on Name</strong></li>
</ul>

<li> Select, in order of preference, at least one suitable name with three or four alternative names, indicative of the main objects of the company.</li>
</ul>

<ul>
<li> Ensure that the name does not resemble the name of any other already registered company and also does not violate the provisions of emblems and names (Prevention of Improper Use Act, 1950) by availing the services of checking name availability on the portal.</li>

<li> Apply to the concerned Registrar of Companies (ROC) to ascertain the availability of name in eForm 1A . A fee of Rs. 500/- has to be paid along with  the digital signature of the applicant proposing the company has to be attached in the form.</li>

Drafting of Memorandum &amp; Articles of Association The Memorandum &amp; Articles of Association are required to be stamped before signing the same. For stamping related charges click here. Memorandum of association (MOA) &amp; articles of Association (AOA) is to be signed by the subscribers physically.

<p style="padding-left: 30px; text-align: justify;">(a)     If  the MOA is signed by the foreign nationals outside India ,their signatures are to be attested before Indian embassy in the country in which the subscribers are residing</p>
<p style="padding-left: 30px; text-align: justify;">(b) If the MOA is signed by the foreign nationals (who are not residents of India and are on a temporary visit) in India , their signature can be attested by a person in India (professionals like Chartered Accountants) and the proof of their visit to India like passport  and visa are to be produced for verification.</p>
<p style="padding-left: 30px; text-align: justify;">(c) If the MOA is signed by foreign nationals residing in India for several  years /permanently , procedure as at (b) above is followed and documentary proof of the fact  that the subscribers have been residing in India is also insisted upon.</p>

<li>Body corporate &amp; Legal entity separate from its partners. Has perpetual succession</li>
<li>Mutual rights &amp; duties of partners &amp; LLP inter se &amp; of LLP &amp; partners shall be governed by agreement between partners or between LLP &amp; partners, in absence of agreement they are governed by provisions of proposed legislation.</li>
<li>Being a separate legal entity LLP is liable to full extent of its assets. Partners are liable to their agreed contribution</li>
<li>At least two partners &amp; two individuals as designated partner, of which one should be resident in India</li>
<li>It should maintain annual accounts. Statement of accounts &amp; solvency shall be filed with registrar every year</li>
<li>Central Govt. have powers to investigate the affairs of LLP By appointing competent inspector.</li>
<li>Arrangements like merger, amalgamation of LLPs shall be in accordance with provisions of proposed legislation</li>
<li>Firm PVt. Ltd. Or unlisted Public Co. can convert in to LLP in accordance with provisions of proposed bill. From the date of registration a assets &amp; liab. Of firms etc. are transferred to LLP</li>
<li>Winding up of LLP may be voluntary or by tribunal formed under  Companies Act, 1956.</li>
<li>The proposed legislation would confer power on the Central Govt. to apply provisions of companies Act,1956</li>
<li>Indian Partnership Act, 1932 shall not be applicable to LLPs</li>
